Terms and conditions governing investment in the Fluid Finance pooled fund.

1. Agreement to Terms

By subscribing to the Fluid Finance pooled investment fund, you agree to be bound by these Terms and Conditions, along with the Subscription Agreement, Risk Disclosure, and Privacy Policy. These documents constitute the entire agreement between you and Fluid Finance Ltd.

2. Fund Structure and Investment

2.1 Pooled Fund Structure

Fluid Finance operates a pooled alternative investment fund where investor capital is combined and managed as a single portfolio. All investors participate proportionally in the fund's performance based on their allocation tier and capital contribution.

2.2 Investment Strategy

The fund employs systematic trading strategies across multiple asset classes including futures (NQ, ES), equities, and digital assets. The portfolio manager retains full discretion over specific trade execution, position sizing, and tactical allocations within the stated strategy framework.

2.3 Investment Tiers

Three investment tiers are available:

  • Class A: £2,500 - £10,000 minimum investment
  • Class B: £10,000+ minimum investment
  • Institutional Class: £100,000+ minimum investment

Each tier has specific features, service levels, and fee structures as detailed in the pricing documentation.

3. Subscription Process

3.1 Application

Prospective investors must complete a Subscription Agreement and Suitability Questionnaire. Acceptance is subject to approval by Fluid Finance management and may be declined at our sole discretion.

3.2 Know Your Customer (KYC)

All investors must complete identity verification and provide required documentation including proof of identity, proof of address, and source of funds verification. We reserve the right to request additional information to comply with Anti-Money Laundering regulations.

3.3 Capital Transfer

Upon acceptance, investors transfer capital via UK bank transfer, SEPA transfer, or wire transfer to the designated fund account. Capital must be transferred from an account in the investor's name.

4. Fees and Expenses

4.1 Management Fees

Management fees vary by tier and are calculated as a percentage of assets under management. Fee schedules are provided during the subscription process and may be subject to change with 30 days' notice.

4.2 Performance Fees

Performance fees are charged on net profits above agreed benchmarks. Performance fee structures vary by tier and are detailed in the Subscription Agreement. All performance fees are calculated after deducting management fees and expenses.

4.3 Other Expenses

The fund may charge additional expenses including broker commissions, regulatory fees, audit costs, and administrative expenses. These are allocated proportionally among investors.

5. Withdrawals and Redemptions

5.1 Profit Withdrawals

Investors may withdraw profits monthly without restriction, subject to minimum balance requirements for their tier. Withdrawal requests must be submitted via the investor dashboard or email.

5.2 Capital Redemptions

Capital redemptions require 30 days' written notice. Redemptions are processed at the end of the notice period based on the Net Asset Value (NAV) at that time. We reserve the right to delay redemptions during periods of market stress or operational disruption.

5.3 Suspension of Redemptions

Fluid Finance reserves the right to suspend redemptions temporarily if necessary to protect the interests of remaining investors, comply with regulatory requirements, or during extraordinary market circumstances.

6. Reporting and Transparency

6.1 Monthly Reports

All investors receive monthly performance reports detailing returns, positions, and account balances. Report delivery timelines vary by tier.

6.2 Dashboard Access

Investors are provided secure dashboard access showing real-time account information, performance metrics, and transaction history.

6.3 Annual Statements

Annual tax statements and audited financial reports are provided to all investors for tax filing purposes.

7. Representations and Warranties

7.1 Investor Representations

By investing, you represent and warrant that:

  • You have the legal capacity to enter into this agreement
  • You have read and understood the Risk Disclosure
  • You can afford the complete loss of your investment
  • Your funds are legitimate and comply with AML regulations
  • You have received independent financial and tax advice
  • All information provided is accurate and complete

7.2 Suitability

You confirm that you are a sophisticated investor with appropriate financial resources and risk tolerance for alternative investments involving leverage and volatility.

8. Limitations of Liability

8.1 No Guarantees

Fluid Finance makes no guarantees regarding investment performance, returns, or capital preservation. Historical performance does not indicate future results. Monthly target returns are aspirational only and not guaranteed.

8.2 Limited Liability

Fluid Finance's liability is limited to the extent permitted by law. We are not liable for losses arising from market movements, force majeure events, technology failures, or third-party actions beyond our reasonable control.

8.3 Technology Risks

While we employ robust technology infrastructure, we cannot guarantee uninterrupted service or complete security. You acknowledge that technology failures may temporarily impact trading operations or dashboard access.

9. Regulatory Compliance

9.1 FCA Authorization

Fluid Finance is pursuing full FCA authorization as an Alternative Investment Fund Manager. We operate in compliance with all applicable UK financial services regulations during the authorization process.

9.2 Regulatory Changes

We reserve the right to modify fund operations, fees, or terms to comply with regulatory changes. Material changes will be communicated with appropriate notice.

10. Termination

10.1 Voluntary Termination

You may terminate your investment by submitting a redemption request with required notice. Your capital will be returned at the prevailing NAV after deduction of applicable fees.

10.2 Involuntary Termination

Fluid Finance may terminate your investment if you breach these Terms, provide false information, engage in prohibited activities, or if we determine continuation is not in the fund's best interests.

10.3 Fund Closure

Fluid Finance reserves the right to close the fund entirely with 90 days' notice to all investors. In such circumstances, capital will be returned proportionally after settling all positions and expenses.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11.2 Complaints Procedure

Complaints should be submitted in writing to contact@fluidfinance.uk. We will acknowledge complaints within 5 business days and aim to resolve them within 30 days. If you remain unsatisfied, you may escalate to the Financial Ombudsman Service.

12. Amendments

Fluid Finance may amend these Terms with 30 days' notice to investors. Material changes will be communicated via email. Continued investment after the notice period constitutes acceptance of amended terms.
